General Terms

These terms govern the provision of legal support services by Solantra in respect of apartment purchase transactions in Singapore. They set out the responsibilities of clients and Solantra, the scope of services, payment terms and dispute resolution procedures. By engaging Solantra you accept these terms in full and agree to work cooperatively to achieve the objectives of the legal engagement while complying with applicable law.

Eligibility to Use Our Services

Solantra provides legal services to individuals and entities engaged in apartment purchase transactions in Singapore. Use of our services requires capacity to enter into binding agreements and compliance with applicable local laws. For international clients, engaging Solantra may involve coordination with advisors in other jurisdictions; clients are responsible for ensuring that they have authority to instruct Solantra.

Clients must be of legal age and have the legal capacity to retain legal services in their jurisdiction. If you are representing a minor or a legally incapacitated person, you must have the appropriate legal authority to enter into this engagement on their behalf.

Services must be used for lawful purposes only. You agree not to use Solantra's services to facilitate illegal activity or to submit false or misleading information during the engagement.

Solantra operates in Singapore and provides services tailored to Singapore law and regulatory requirements. Where local legal advice outside Singapore is required, clients should instruct suitable counsel in the relevant jurisdiction.

Accounts and Access

Where access to client portals or online systems is provided, you are responsible for maintaining the confidentiality of account credentials and for all activities under your account. Notify Solantra immediately if you suspect unauthorized access.

You warrant that information supplied to Solantra is accurate, complete and up to date. Material omissions or inaccuracies that affect the legal engagement should be promptly disclosed.

Solantra implements reasonable security measures, but clients must also apply appropriate safeguards when sharing documentation and credentials. Do not share secure access details via insecure channels.

Accounts, credentials and client engagements are personal and non-transferable without prior written consent from Solantra.

If you reasonably suspect unauthorized access or misuse of your account or data, contact Solantra immediately at the address or email provided so we can take remedial steps.

Solantra reserves the right to suspend access to client portals or services if required for security, compliance or operational reasons, and will notify affected clients where practical.

Scope of Legal Services

Solantra provides legal support services including due diligence, contract review and preparation of conveyancing documents, advice on statutory requirements and coordination with agents and authorities for apartment purchase transactions. The specific scope of each engagement is described in the engagement letter or service agreement. Services do not extend to tax, valuation or business advice unless expressly stated in writing.

Solantra may update the scope, pricing or delivery methods for services. Material changes to ongoing engagements will be communicated and require confirmation where they affect fees or key deliverables.

Service availability depends on client cooperation, third-party providers and governmental processes such as land registry and funding approvals. Solantra will assist in managing timelines but cannot control external processing times.

Service Rules and Acceptable Use

To maintain a professional and secure service environment, clients and users must adhere to the following rules when interacting with Solantra:

  • Provide truthful and complete information relevant to the transaction and promptly disclose material changes.
  • Do not attempt to access or interfere with systems, data or accounts that you are not authorized to access.
  • Refrain from abusive, harassing or defamatory communications with Solantra staff or affiliated parties.
  • Do not submit documents or content that infringe third-party rights or violate applicable law.
  • Comply with instructions regarding secure transmission and storage of confidential documents.
  • Use service portals for legitimate transaction-related activities only, and do not introduce malware or disruptive content.
  • Cooperate with verification requests and provide requested documentation to support legal processes.

Client Documents and User Content

Clients will provide documents and information necessary for the provision of legal services. Such user content is governed by the terms below regarding ownership, license and responsibility.

Ownership of documents and materials provided by the client remains with the client except where otherwise agreed in writing. Solantra does not claim ownership of client-supplied documents.

By submitting documents and information to Solantra, the client grants Solantra a non-exclusive, revocable license to use, copy and process the materials solely to provide the contracted legal services and to comply with legal obligations.

Clients are responsible for the legality, accuracy and completeness of the materials they provide. Solantra will rely on client-supplied documents in providing advice; inaccurate information may affect outcomes and Solantra's ability to provide effective representation.

Clients may request removal or return of original documents at the conclusion of the engagement. Solantra may retain lawful copies for record-keeping in accordance with retention policies and regulatory obligations.

Intellectual Property

All intellectual property rights in materials created by Solantra in the course of providing services, including templates, advice memos and bespoke documents, remain the property of Solantra unless otherwise agreed. Clients are granted a license to use deliverables for the specific transaction for which they were prepared.

  • Do not reproduce, distribute or publish Solantra proprietary materials without written consent.
  • Do not remove or alter copyright notices, branding or proprietary legends from Solantra deliverables.
  • Use of Solantra templates or forms for unrelated third-party matters requires prior authorization.

Paid Services and Fees

Fees for legal services are set out in the engagement letter or fee schedule. Fees may be fixed, hourly or structured by milestone depending on the nature of the apartment purchase transaction and agreed scope.

Fee estimates are provided in good faith based on information available at engagement. Actual fees may vary with transaction complexity, additional work and third-party charges such as government fees or Land Office charges.

Invoices are payable within the terms stated on the invoice. Payment methods and instructions will be provided. Late payments may incur interest or suspension of services to the extent permitted by law.

Where ongoing advisory services are provided on a retainer or subscription basis, billing cycles and termination provisions will be set out in the engagement agreement.

Refunds for fees paid will be handled in accordance with the engagement terms and applicable law. Fee adjustments may be made where services were not rendered as agreed and a reconciliation is appropriate.

Clients may terminate the engagement in accordance with the terms of the engagement letter. Termination does not absolve the client of payment obligations for work performed and costs incurred up to the termination date.

Clients are responsible for any taxes, duties or levies arising from the engagement, unless otherwise stated in the engagement agreement.

Solantra reserves the right to update fee schedules for new engagements; existing engagements will be subject to the fee arrangements in the relevant engagement letter unless otherwise agreed.

In the event of non-payment, Solantra may suspend ongoing services, retain client files and pursue collection in accordance with applicable law.

Limitation of Liability

To the extent permitted by law, Solantra's liability in connection with the provision of services is limited to direct losses demonstrably caused by proven breach of duty, and where liability is allowed by statute may be capped to the amount of fees paid for the relevant service. Solantra is not liable for indirect, consequential or predictive losses, or for delays and outcomes attributable to third parties or regulatory processes.

Third-Party Services and Providers

Solantra may engage third-party providers such as search firms, notaries, translators and registry services to deliver parts of the service. Where third parties are used, Solantra remains responsible for coordination, but is not liable for the independent acts or omissions of those providers beyond the scope of applicable contractual arrangements.

Termination of Services

Either party may terminate the engagement in accordance with the termination clauses in the engagement letter. Solantra may also suspend or terminate services for breach of these terms, non-payment or where continued representation would conflict with legal or ethical obligations.

On termination, outstanding fees and disbursements become payable. Solantra will return original client documents on request and retain copies as required by retention policies and law.

Privacy and Data Protection

Solantra processes personal data in accordance with its Privacy Policy. By engaging Solantra, you consent to the collection and use of personal data necessary for the provision of legal services and compliance with legal obligations.

Communications and Notices

Communications between Solantra and clients may be by email, post or through secure portals. Electronic communications are used for convenience and speed, but clients should avoid transmitting highly sensitive information over insecure channels unless instructed to use secure methods.

Changes to Terms

Solantra may amend these terms to reflect legal, regulatory or operational changes. Material updates will be notified and published with an effective date. Continued use of Solantra services after notification constitutes acceptance of updated terms.

Governing Law

These terms are governed by the laws of Singapore. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Singapore, subject to any agreed dispute resolution process.

Dispute Resolution

In the event of a dispute, parties are encouraged to engage in good-faith discussions to reach an amicable resolution. If a negotiated settlement cannot be reached, parties may pursue mediation or arbitration in Singapore, or litigation where necessary, in accordance with agreed procedures.
